Settlement Policy
1. Overview
When customers pay for orders on GetDirect, we collect those payments and pass the net amount on to you. This policy explains how we calculate what you're owed, when we pay it, and what we deduct along the way.
This Settlement Policy forms part of, and should be read with, the GetDirect Restaurant Partner Terms. Terms defined there have the same meaning here. It applies to all restaurant partners who receive settlements from GetDirect.
2. Payment collection
GetDirect (through its authorised payment partners) collects payments made by customers for orders placed on the platform. These amounts are held and settled to you in line with this policy and applicable payment regulations. All amounts are handled in Indian Rupees (₹).
3. Settlement cycle
We settle eligible order amounts to your registered bank account within 7 business days of the order (T+7). Business days exclude weekends and public holidays. Settlement timelines may be affected by bank processing times, holidays, or reasons outside our control.
4. How settlement is calculated
Your settlement for a period is the total value of eligible orders, less the deductions set out below:
Net settlement = Order value − refunds & cancellations − chargebacks − applicable taxes (TCS/TDS) − any fees, penalties, or adjustments − amounts you owe GetDirect
"Order value" is the amount paid by the customer for your items, including applicable taxes on the food, but excluding any amounts collected on behalf of third parties (such as delivery charges retained by a delivery partner, where applicable).
5. Deductions
Before settling, we may deduct:
- Refunds and cancellations attributable to your restaurant.
- Chargebacks and payment reversals on your orders.
- Applicable taxes we're required to collect or deduct (see Taxes).
- Penalties or adjustments arising from breaches of the Partner Terms or platform policies.
- Amounts you owe GetDirect, including overdue subscription fees or previously over-settled amounts.
6. Subscription fees
Your monthly subscription fee is billed separately under the Partner Terms and is not a per-order commission. Where a subscription amount is overdue, we may recover it by deducting it from your settlements in addition to any other remedy available to us.
7. Your settlement account
You must provide and maintain accurate, verified bank account and KYC details for settlements. You're responsible for keeping these up to date. We're not liable for settlements delayed, failed, or mis-directed because of incorrect or outdated account details you provided.
8. Settlement statements
Settlement statements showing order value, deductions, taxes, and the net amount paid are available on your GetDirect dashboard. Please review them regularly and reconcile them against your records.
9. Refunds & cancellations
Where an order is refunded or cancelled for reasons attributable to your restaurant (for example, item unavailability, quality issues, or your inability to fulfil), the refunded amount is borne by you and adjusted from your settlement. We handle refunds to customers in line with our refund and cancellation processes and applicable law.
10. Chargebacks & payment disputes
If a customer or bank raises a chargeback or disputes a payment, the disputed amount may be withheld or debited from your settlement pending resolution. You agree to cooperate and provide information we reasonably need to contest a chargeback. If a chargeback is upheld against an order you fulfilled, the amount is your responsibility.
11. Taxes
You are responsible for charging, collecting, reporting, and paying all taxes due on your sales, including GST, and for issuing valid tax invoices to customers.
As an e-commerce operator, GetDirect may be required to:
- Collect Tax Collected at Source (TCS) under Section 52 of the CGST Act on the net value of taxable supplies, deposit it, and report it; and
- Deduct Tax Deducted at Source (TDS) under Section 194-O of the Income-tax Act, 1961 on the gross amount of your sales.
Where these apply, we deduct them at the prevailing rates and reflect them in your settlement statements, and provide the applicable statements or certificates so you can claim credit. Because tax rules and rates change, please confirm your obligations with your own tax advisor.
12. Holdbacks & recovery
We may temporarily hold back or reserve a portion of settlements where reasonably needed to cover anticipated refunds, chargebacks, disputes, suspected fraud, or amounts you owe us. If your account carries a negative balance, we may recover it from future settlements or invoice you, and it becomes payable on demand.
13. Failed or delayed settlements
Settlements may be delayed or paused due to incorrect bank details, failed KYC or verification, legal or regulatory requirements, suspected fraud, pending disputes, or events outside our reasonable control. We'll work to resolve issues promptly and, where a settlement fails for reasons on your side, re-attempt it once corrected details are provided.
14. Raising discrepancies
If you believe a settlement is incorrect, let us know within 7 days of the relevant settlement statement, with supporting details. We'll investigate in good faith and correct any confirmed error in a following settlement. Statements not disputed within this window are treated as accepted.
15. Changes to this policy
We may update this Settlement Policy from time to time. We'll give reasonable notice of material changes and update the "last updated" date above. Continued use of GetDirect after a change takes effect means you accept the updated policy.
